These Terms & Conditions (“Terms”) govern the use of the website www.promptextrade.com (the “Site”) and any purchase or trading services provided by PromptEx Global Trading Ltd (“PromptEx”, “we”, “us”, “our”).
By accessing our Site, submitting an enquiry, requesting a quotation or placing an order, you (“Customer”, “Buyer”, “you”) agree to be bound by these Terms.
1. About us

2. B2B only
Our Services are strictly business-to-business (B2B). By transacting with us, you confirm that you are acting in the course of business and not as a consumer. You warrant that you have the legal authority to enter into contracts on behalf of your organisation.
3. Quotations
- All quotations are provided in good faith based on the information supplied at the time.
- Unless stated otherwise, quotations are valid for 15 days from the date of issue.
- Prices are subject to change based on raw material cost, freight, exchange rates and destination duties.
- A quotation does not constitute a binding offer until a written Sales Confirmation or Pro-forma Invoice is issued and accepted by both parties.
4. Orders & Sales Confirmation
- An order becomes binding once we issue a Sales Confirmation or Pro-forma Invoice and receive the agreed advance payment.
- PromptEx reserves the right to accept or decline any order at its sole discretion.
- Cancellation of confirmed orders is subject to compensation for costs already incurred by PromptEx and its suppliers.
5. Prices & Payment
- All prices are quoted in the currency specified on the invoice (GBP, USD, EUR).
- Prices are exclusive of any import duties, taxes, port charges, customs fees or other statutory levies at destination unless expressly stated as DDP.
- Standard payment terms: 30% advance by wire transfer against Pro-forma Invoice, 70% balance against copy of Bill of Lading (or as separately agreed).
- Alternative terms (Letter of Credit at sight, LC usance, TT wire) available on approved credit assessment.
- Small orders and samples may be settled via Stripe (secure card payment).
- Overdue invoices attract statutory interest under the UK Late Payment of Commercial Debts (Interest) Act 1998.
6. Delivery & Incoterms
- Delivery is governed by the Incoterms (ICC 2020) specified in the Sales Confirmation — typically FOB, CIF, CFR, DDP or DAP.
- Delivery lead times are estimates only. PromptEx is not liable for delays caused by weather, port congestion, customs, force majeure or other events outside its reasonable control.
- Risk of loss passes to the Buyer at the point specified by the applicable Incoterm.
7. Product quality & specifications
- Products are supplied to the specifications stated in the Sales Confirmation, subject to normal manufacturing tolerances and natural variation for agricultural and handmade goods.
- Third-party inspection (SGS, Bureau Veritas, Intertek) can be arranged at the Buyer’s request and cost.
- Any quality claim must be notified to us in writing within 7 days of arrival at destination, supported by photographic and third-party inspection evidence.
8. Warranties & disclaimers
PromptEx warrants that goods supplied conform to the specifications in the Sales Confirmation and applicable food-safety/product-quality regulations of India (country of origin). No other warranty, express or implied, is given. Fitness for a particular purpose in the destination market is the Buyer’s responsibility.
9. Import compliance
The Buyer is solely responsible for:
- Import licences, permits and destination-country regulatory approvals
- Payment of all import duties, VAT and taxes at destination
- Compliance with local labelling, halal, kosher, organic or other certification requirements
10. Limitation of liability
To the maximum extent permitted by law:
- Our total liability for any loss arising out of or in connection with an order shall not exceed the invoice value of the specific shipment giving rise to the claim.
- We shall not be liable for indirect, consequential, incidental or special losses, including loss of profit, loss of business or reputational harm.
- Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any liability which cannot be limited under UK law.
11. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, war, terrorism, pandemic, strike, port closure, government sanctions, or export restrictions.
12. Intellectual property
All content on the Site (text, images, logos, product descriptions) is owned by PromptEx or its licensors and protected by copyright, trademark and other laws. You may not reproduce, distribute or use our content for commercial purposes without prior written permission.
13. Confidentiality
Both parties agree to keep confidential any commercially sensitive information exchanged during quotation, negotiation and performance of orders.
14. Governing law & jurisdiction
These Terms and any dispute arising from them are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England, or to arbitration by the London Court of International Arbitration (LCIA) if mutually agreed.
15. Changes to these Terms
We may amend these Terms from time to time. The version in force at the date your order is confirmed shall apply to that order.
